Instructor Service Agreement: Novamind Academy

Effective Date: July 2026

This Agreement is entered into by and between Novalink Caribbean Ltd (the "Company") and the undersigned Instructor (the "Instructor"). Novamind Academy, a division of Novalink Caribbean Ltd, provides the platform through which the Instructor will offer educational services.

1. Instructor Obligations

  • Methodological Alignment: The Instructor agrees to align all educational content with the Novamind Academy standardized instructional methodology. This methodology prioritizes hands-on competence and student-centric outcomes over traditional passive learning.

  • Quality Compliance: The Instructor acknowledges that all course submissions are subject to a formal review pipeline by the Company to ensure compliance with quality and structural standards.

  • Revisions: If a submitted course does not meet the Company’s quality standards, the Instructor agrees to revise and resubmit the content based on feedback provided by the Company’s administrators.

2. Operational Integration

  • Proprietary-Linked Portal: The Instructor acknowledges that all courses are hosted on the Academy’s proprietary-linked portal, which facilitates student tracking, revenue monitoring, and resource access.

  • Access Protocols: Access to the Academy learning environment is provided via secure, authenticated channels. The Instructor agrees to provide course materials in a format compatible with the Academy’s operational standards as required by the Company.

3. Confidentiality and Intellectual Property

  • Confidentiality: The Instructor agrees to maintain the integrity of the unique student experience. The Instructor shall not disclose, replicate, or share the Academy’s internal pedagogical structures, adaptive instructional workflows, or proprietary methodologies with any third party.

  • Standardization: The Instructor commits to the Academy’s core philosophy, which includes supporting a "no-fail" environment, facilitating unlimited student retakes, and utilizing the Academy’s adaptive instructional infrastructure.

4. Revenue and Compensation

  • Revenue Share: The Instructor shall earn an agreed-upon percentage of revenue for every enrollment in their published courses.

  • Passive Income: The Instructor acknowledges that courses published on the Novamind Academy platform are designed to generate passive income automatically once live.

  • Management: The Instructor agrees that administrative access for revenue tracking and system maintenance is managed exclusively by the Company.

5. Term and Termination

  • Quality Audits: The Company reserves the right to conduct periodic quality audits of courses to ensure consistency across the Academy’s platform.

  • Termination: The Company reserves the right to remove courses from the Marketplace or terminate this Agreement if the Instructor fails to maintain the standardized quality or pedagogical standards required by Novamind Academy.
